1. Acceptance of Terms

By accessing or using the Skillform website, applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Use of Service

The Service is a healthcare training platform designed for educational purposes. You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any unlawful or unauthorized purpose
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Upload or transmit any malicious code, viruses, or harmful content
• Scrape, harvest, or collect information from the Service without permission
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Service as a substitute for professional medical training, clinical supervision, or patient care

The Service is intended as a supplemental educational tool. It does not replace hands-on clinical training, instructor supervision, or official certification programs.

3. User Accounts

To access certain features of the Service, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio, video, software, game designs, and training materials, are owned by Skillform or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial educational purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Service without our prior written consent.

5. User Content

You may submit content to the Service, including video recordings and performance data ("User Content"). You retain ownership of your User Content, but you grant Skillform a worldwide, non-exclusive, royalty-free license to use, process, and analyze your User Content for the purpose of providing and improving the Service. We may use anonymized and aggregated data derived from User Content for research, analytics, and product improvement.

6. Subscriptions and Payment

Certain features of the Service may require a paid subscription. Subscription terms, pricing, and billing cycles will be presented at the time of purchase. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with reasonable notice. Institutional licenses are governed by separate agreements.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLFORM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

THE SERVICE IS PROVIDED FOR EDUCATIONAL PURPOSES ONLY. SKILLFORM DOES NOT GUARANTEE THAT USE OF THE SERVICE WILL RESULT IN PASSING ANY CERTIFICATION EXAM OR MEETING ANY SPECIFIC LEARNING OUTCOME. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Georgia.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
